MASTER SPORTS (MASTER CONCEPTS LLC) – PARTICIPATION AGREEMENT, ASSUMPTION OF RISK, RELEASE OF LIABILITY, INDEMNITY, AND MEDICAL AUTHORIZATION

This Agreement is entered into by the registering parent/legal guardian ("Parent/Guardian") and, where applicable, the registering participant ("Participant") (collectively, "We/Us") in favor of Master Concepts LLC d/b/a Master Sports ("Master Sports"), including its directors, officers, employees, contractors, agents, coaches, officials, volunteers, sponsors, affiliates, successors and assigns, and the owners/lessors/operators of any facilities used (collectively, the "Released Parties").

IMPORTANT – ACCEPTANCE OF TERMS BY REGISTRATION, ELECTRONIC ACCEPTANCE, AND PARTICIPATION

Participation in any Master Sports program is conditioned on acceptance of these Terms and Conditions. By registering a Participant for any Master Sports program (including completing an online registration, submitting payment, enrolling through a third-party platform, checking an "I Agree" box, typing a name, electronically signing, or allowing a Participant to attend or participate), you acknowledge that you have read, understand, and agree to be bound by these Terms, including the Assumption of Risk, Release of Liability, Indemnity, Medical Authorization, Photo/Media Release, Refund Policy, and Parent Code of Conduct. If you do not agree, do not register and do not allow the Participant to attend or participate.

1) Agreement to Follow Rules; Eligibility; Conduct

  1. Rules & Instructions. We agree that Participant will comply with all policies, rules, instructions, safety requirements, and codes of conduct of Master Sports and any facility or event host, including coach/referee instructions and equipment requirements.
  2. Removal for Safety/Conduct. Master Sports may deny participation, suspend, or remove Participant or Parent/Guardian from any program or facility for safety reasons, disruptive behavior, or rule violations, without refund except as required by law or as expressly stated in the Refund Policy below.
  3. Accurate Information. We certify that all registration information is true and complete. We will promptly update Master Sports regarding medical conditions, allergies, medications, or restrictions that may affect safe participation.

2) Acknowledgment and Assumption of Inherent Risks

  1. Nature of Activities. We understand that youth sports and related activities (including practices, games, camps, classes, clinics, tournaments, conditioning, training, scrimmages, and events) involve inherent and unavoidable risks, including but not limited to: slips/falls; collisions with other participants, coaches, spectators, equipment, or surfaces; overexertion; heat illness; dehydration; concussions and traumatic brain injury; sprains/strains; fractures; dental injuries; paralysis; and serious injury or death.
  2. Assumption of Risk. We knowingly and voluntarily assume all inherent risks of participation, including risks that may arise from the actions, omissions, or negligence of other participants or third parties to the fullest extent permitted by law.
  3. Health & Fitness. We represent that Participant is physically and mentally able to participate, and we accept responsibility for obtaining any medical evaluation we deem necessary.

3) Release of Liability; Covenant Not to Sue

  1. Release. To the fullest extent permitted by law, We release and discharge the Released Parties from any and all claims, demands, causes of action, damages, losses, or liabilities of any kind (including attorneys' fees and costs) arising out of or related to Participant's participation or presence at any Master Sports activity, program, or facility, including travel to/from such activities, whether caused by the ordinary negligence of any Released Party or otherwise.
  2. Limitations Where Prohibited. This release does not apply to the extent a claim is based on gross negligence, willful misconduct, or any liability that cannot legally be waived under applicable law.
  3. Covenant Not to Sue. We agree not to file or assist in filing any lawsuit or claim against any Released Party for any matter released by this Agreement.

4) Indemnification and Hold Harmless

To the fullest extent permitted by law, We agree to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, demands, actions, damages, losses, liabilities, judgments, penalties, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Participant's participation or conduct,
  • Parent/Guardian's conduct at any event/facility,
  • any breach of this Agreement, or
  • any claim brought on Participant's behalf by a third party or by/through Participant (to the extent permitted by law).

5) Medical Authorization; Emergency Care; Health Information; Communicable Illness; Financial Responsibility

  1. Consent to Treatment. In the event of an accident, injury, illness, or emergency, We authorize Master Sports and its representatives to obtain or provide emergency assistance and to consent on our behalf to medical, dental, or surgical treatment as deemed necessary by a licensed health care provider, ambulance personnel, or hospital staff.
  2. Contact Efforts. Master Sports will attempt to contact Parent/Guardian using the contact information provided; however, treatment may be provided before contact is made if time or circumstances require.
  3. Costs and Insurance. We understand and agree that We are solely responsible for all medical and related expenses. We represent that Participant has medical insurance coverage or that We accept full responsibility for such costs.
  4. Medications/Allergies/Health Information. We have disclosed, or will disclose, relevant allergies/conditions/medications and any restrictions that may affect safe participation. Master Sports does not guarantee supervision of self-administered medications unless expressly agreed in writing.
  5. Communicable Illness (Optional). We understand that participation in group athletic activities may involve exposure to communicable illnesses (including, for example, colds, flu, and other viral or bacterial infections). We agree that Participant will not attend or participate if Participant has a fever, vomiting/diarrhea, or other symptoms of a contagious illness, or has been advised by a medical professional to isolate/quarantine, and we will promptly notify Master Sports of any relevant exposure or diagnosis that could reasonably impact others' health and safety.

6) Transportation Authorization (If Applicable)

Where Master Sports arranges or coordinates transportation (including carpools, buses, vans, or third-party transport), We authorize Participant to be transported to/from activities. We understand that transportation may involve additional risks, which We assume and release as provided in this Agreement.

7) Photo/Video/Audio Release

We grant Master Sports and its affiliates permission to capture Participant's likeness (photo/video/audio) during activities and to use such media for lawful educational, promotional, and informational purposes (including online, social media, flyers, and publications) without compensation.

Opt-out (optional): If you wish to allow participation but opt out of marketing uses, email service@mastersports.com before the first session; Master Sports will make reasonable efforts to honor opt-out requests but cannot guarantee exclusion from all group images or third-party media.

8) Refund Policy

Definitions. For purposes of this Refund Policy: (i) "Start Date/Time" means the scheduled date/time of the first session of a class or camp as published by Master Sports; (ii) "Assessment Date" means the scheduled league evaluation/assessment date as published by Master Sports; and (iii) "Credit" means a non-cash account credit that may be applied to eligible Master Sports programs, subject to availability and any stated limitations.

A. Camps / Classes

  1. Submission Method. Refund requests must be submitted by email to service@mastersports.com. Requests are not considered received until sent to that address.
  2. Deadline (14 Calendar Days). Refund requests must be received at least 14 calendar days prior to the Start Date/Time.
  3. No Cash Refunds Inside Window. Requests received within 14 days of the Start Date/Time are not eligible for a cash refund.
  4. Injury/Illness Credit. If Participant cannot attend due to injury/illness, Master Sports may issue Credit (not cash) upon receipt of reasonable documentation.
  5. Summer Camp Credit Limit. Summer camp credits are valid only toward another Master Sports summer camp occurring in the same calendar year, unless otherwise required by law.
  6. Credit Terms. Unless otherwise required by law, Credits are non-transferable, have no cash value, and may not be redeemed for cash.
  7. Processing Fee. Approved cash refunds (if any) are subject to a $20 processing fee per registration, which will be deducted from the refunded amount where permitted by law.

B. Leagues

  1. Submission Method. League refund requests must be submitted by email to service@mastersports.com.
  2. League Refund Deadline (7 Calendar Days). League refund requests must be received no later than 7 calendar days prior to the Assessment Date.
  3. No Refund/Credit After Team Placement. No refunds or credits will be issued after the Assessment Date or once the Participant has been placed on a team, whichever occurs first, except as required by law.
  4. Processing Fee. Approved cash refunds (if any) are subject to a $20 processing fee per registration, which will be deducted from the refunded amount where permitted by law.

C. Program Changes / Cancellations; Force Majeure

Master Sports may adjust schedules, locations, coaches, formats, or combine divisions for safety, weather, facility availability, or operational reasons.

Force Majeure / Weather / Acts of God. Master Sports is not responsible for delays, interruptions, rescheduling, relocation, or cancellations caused by events beyond its reasonable control, including but not limited to weather, poor air quality, fire/smoke, flood, earthquake, acts of God, public health guidance or orders, war, terrorism, civil unrest, strikes/labor disruptions, utility failures, facility closures, or governmental actions ("Force Majeure Events").

If Master Sports cancels a program entirely (including due to a Force Majeure Event), Master Sports will provide a refund or credit as determined by Master Sports and consistent with applicable law (processing fees may still apply where permitted).

9) Parent Code of Conduct

Parent/Guardian agrees to:

  • place Participant's safety, well-being, and sportsmanship above winning;
  • treat players, coaches, referees, staff, and other families with respect;
  • refrain from profanity, harassment, threats, intimidation, discriminatory conduct, or disruptive behavior;
  • address concerns privately with staff before/after activities (not during play);
  • comply with facility rules and create an alcohol/tobacco/vape/drug-free environment during events; and
  • support a positive environment ("Play your best, play fair, everyone wins.")

Consequences. Violations may result in warnings, removal from the facility, suspension, or termination from the program, at Master Sports' discretion, without refund except as required by law.

10) Governing Law; Venue; Severability; Entire Agreement

  1. Governing Law / Venue. This Agreement is governed by the laws of the State of California, without regard to conflict-of-law rules. Any legal action relating to this Agreement or participation in Master Sports programs must be filed in the state or federal courts located in San Diego County, California, and the parties consent to the personal jurisdiction of such courts, unless prohibited by law.
  2. Severability. If any provision is found unenforceable, the remaining provisions will remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to be enforceable.
  3. Entire Agreement. This Agreement contains the entire understanding between the parties regarding the subject matter and supersedes prior oral or written statements.

11) SMS/Text Messaging Terms

If you are an employee or job applicant of Master Sports and separately opt in, you agree to the following SMS text messaging terms:

  1. Consent. You consent to receive transactional and informational SMS text messages from Master Sports at the phone number you provided. Messages may concern your application, scheduling updates, shift reminders, availability requests, and operational announcements.
  2. Voluntary Consent. SMS consent is optional and is not a condition of applying for or accepting employment.
  3. Frequency. You may receive up to 10 messages per week, depending on your application status, work schedule, and operational needs.
  4. Costs. Message and data rates may apply. Master Sports is not responsible for any charges from your mobile carrier.
  5. Opt-Out. You may opt out at any time by replying STOP to any message. You will receive a confirmation of your opt-out and will no longer receive SMS messages from us unless you re-subscribe.
  6. Help. For assistance, reply HELP to any message or contact us at service@mastersports.com.
  7. Carrier Disclaimer. Carriers are not liable for delayed or undelivered messages.
  8. Privacy. No mobile information will be sold or shared with third parties or affiliates for promotional or marketing purposes. Mobile information may be provided to service providers solely as necessary to deliver and support the messaging service. 12) Acknowledgment of Understanding; Electronic Acceptance

We acknowledge that we have read, understand, and voluntarily agree to this Agreement, including the assumption of risk, release of liability, and indemnity provisions. We understand we are waiving substantial rights, including the right to sue for claims covered by this Agreement.

Electronic Acceptance / Click-Through. We agree that checking an "I Agree" box, typing a name, electronically signing, submitting registration, submitting payment, or permitting participation constitutes a legally binding signature and acceptance by Parent/Guardian (and Participant where applicable) to the fullest extent permitted by law.

13) Minor Participant Acknowledgment (Parent/Guardian)

If the Participant is a minor, Parent/Guardian represents and warrants that they are the minor's parent or legal guardian and have full authority to enter into this Agreement on the minor's behalf. Parent/Guardian understands that laws vary by state regarding the enforceability of liability waivers for minors, and agrees that this Agreement is intended to be enforced to the fullest extent permitted by applicable law. To the extent any provision is deemed unenforceable as to a minor, Parent/Guardian agrees that the remaining provisions (including the assumption of risk, indemnity, medical authorization, and all other obligations) shall remain in full force and effect to the maximum extent permitted by law.

12) In-App Communications and Community Conduct

Account holders must be at least 18 years old. By posting, commenting, or using in-app chat, you agree to follow the Master Sports Community Guidelines. Do not submit harassment, hate speech, threats, sexual content, spam, illegal content, or another person's private information.

Master Sports may filter, remove, preserve, or review communications and may restrict or terminate accounts that violate these rules. Users can report content and block other non-administrator users from the communication menu. Operational notices from Master Sports administrators may remain visible. Reports are reviewed by Master Sports and may be escalated when safety or law requires it.
